These Terms and Conditions (“Terms”) govern your access to and use of www.vongmala.com and any related webpages, forms, booking tools, client portals, content, and online services operated by VongMala & Co. LLC (“VongMala,” “we,” “us,” or “our”).

By accessing or using this website, submitting an inquiry, creating an account, scheduling a consultation, or purchasing a service through the website, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use the website.

1. About VongMala

VongMala & Co. LLC provides business operations and infrastructure consulting services. Services may include operational analysis, organizational planning, workflow and internal-control design, performance reporting, implementation support, fractional operating leadership, technology strategy, and coordination with outside professional advisers.

Information on this website is provided for general informational and business-development purposes. The specific scope, deliverables, fees, responsibilities, and limitations of any consulting engagement will be established in a separate written engagement agreement, proposal, statement of work, or other written confirmation.

2. No Professional Advice

VongMala is not a law firm, certified public accounting firm, investment adviser, insurance agency, engineering firm, employment-law practice, or tax-advisory firm.

Nothing on this website constitutes legal, tax, accounting, investment, insurance, engineering, regulatory, employment, or other licensed professional advice.

VongMala may identify operational concerns, organize information, assist with internal processes, and coordinate with a client’s licensed professionals. Clients remain responsible for obtaining advice from appropriately qualified attorneys, accountants, tax professionals, insurance professionals, engineers, human-resources professionals, and other licensed advisers.

VongMala does not sell, solicit, negotiate, or provide advice concerning insurance products through this website or its consulting engagements.

3. No Client Relationship Created by Website Use

Accessing this website, submitting a form, scheduling a Fit Call, sending an email, uploading information, or purchasing a service does not by itself create a consulting, fiduciary, confidential, employment, partnership, joint-venture, or other professional relationship with VongMala.

A consulting relationship begins only after VongMala has:

  1. Confirmed that the engagement is an appropriate fit;

  2. Defined and accepted the scope of work;

  3. Received any required signed agreement or written authorization; and

  4. Received any required payment or deposit.

VongMala may accept or decline an inquiry or proposed engagement at its discretion, subject to applicable law.

4. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use paid services through this website.

If you use the website or purchase services on behalf of a company or another person, you represent that you have authority to provide the submitted information and bind that company or person where applicable.

You are responsible for ensuring that information or documents submitted to VongMala may be lawfully disclosed.

5. Fit Calls and Qualification

A Fit Call is a preliminary conversation intended to:

  • Understand the general nature of your business and concerns;

  • Determine whether VongMala’s experience is relevant;

  • Identify the appropriate potential level of support; and

  • Decide whether a further engagement should be considered.

A Fit Call is not a diagnostic, consulting deliverable, professional opinion, or guarantee that VongMala will accept an engagement.

Information discussed during a Fit Call is preliminary and should not be treated as a complete assessment or relied upon as the sole basis for a business decision.

6. Consulting Services and Engagement Agreements

Paid services may include diagnostic reviews, focused assessments, complex-business reviews, implementation projects, and Fractional COO support.

Descriptions and prices shown on the website are general summaries. Final scope may depend on factors such as:

  • Number of entities;

  • Records available for review;

  • Condition and completeness of the records;

  • Number of stakeholders or interviews;

  • Size and complexity of the organization;

  • Urgency and requested timeline;

  • Travel or on-site requirements;

  • Implementation responsibilities; and

  • Required coordination with outside professionals.

If a separate engagement agreement, proposal, or statement of work conflicts with these website Terms, the separate written engagement document will control with respect to that engagement.

7. Fees, Payments, and Taxes

Fees are displayed in U.S. dollars unless otherwise stated.

Certain website prices are starting rates or founding-client rates. A displayed price does not guarantee that every business or project qualifies for that rate.

You agree to provide accurate billing and payment information and authorize the applicable payment processor to charge the approved amount.

Payments may be processed through Wix Payments or another third-party payment provider. VongMala does not directly collect or store complete payment-card numbers or security codes.

You are responsible for applicable taxes, charges, or fees unless expressly stated otherwise.

VongMala may suspend scheduling, analysis, delivery, or access to services when a required payment is overdue, disputed, reversed, or declined.

8. Cancellations, Rescheduling, and Refunds

Cancellation, rescheduling, no-show, refund, and payment-credit terms may vary by service. The applicable service description, booking policy, proposal, invoice, or engagement agreement will govern.

Unless otherwise stated in writing:

  • Requests to cancel or reschedule a scheduled call should be provided at least 24 hours in advance;

  • Fees may become nonrefundable once document review, analysis, preparation, or other substantive work has begun;

  • Missed appointments and late cancellations may affect eligibility to reschedule;

  • Deposits may be applied according to the applicable engagement agreement; and

  • Completed consulting work, delivered reports, and consumed service time are not refundable.

Nothing in this section limits any non-waivable rights available under applicable law.

9. Client Responsibilities

The quality and usefulness of VongMala’s work depend on timely access to accurate and complete information.

Clients and prospective clients are responsible for:

  • Providing complete and accurate information;

  • Identifying known errors, omissions, disputes, or limitations in submitted records;

  • Obtaining necessary permissions before sharing information;

  • Responding to reasonable requests for clarification;

  • Maintaining appropriate copies and backups of records;

  • Reviewing deliverables and raising questions promptly;

  • Making final management and business decisions; and

  • Obtaining licensed professional advice when appropriate.

VongMala is not responsible for conclusions affected by incomplete, inaccurate, misleading, outdated, withheld, or unauthorized information.

10. Confidential and Sensitive Information

General website forms and ordinary email should not be used to submit:

  • Social Security numbers;

  • Passwords or access credentials;

  • Complete payment-card information;

  • Personal banking credentials;

  • Protected health information;

  • Unredacted government identification;

  • Legally privileged information;

  • Trade secrets; or

  • Sensitive employee or customer records.

Do not upload confidential business documents until VongMala has requested them and provided an appropriate submission method.

Submission of information before an engagement is accepted does not automatically create a confidential, fiduciary, attorney-client, accountant-client, or other privileged relationship.

Confidentiality obligations applicable to an accepted consulting engagement will be governed by the relevant engagement agreement.

11. Electronic Communications

By providing contact information, you authorize VongMala to send communications reasonably related to your inquiry, booking, transaction, or engagement.

These communications may include:

  • Appointment confirmations and reminders;

  • Requests for information;

  • Service and payment notices;

  • Deliverables and follow-up communications; and

  • Administrative or security notices.

Providing a phone number does not, by itself, constitute consent to receive promotional text messages where separate consent is required by law.

Electronic communications may not always be secure. You accept the ordinary risks associated with communicating by email and other electronic systems.

12. Accounts and Client Portals

Certain features may require an account or client-portal access.

You are responsible for:

  • Maintaining the confidentiality of login credentials;

  • Using accurate account information;

  • Restricting unauthorized access to your account;

  • Promptly notifying VongMala of suspected unauthorized activity; and

  • Logging out of shared or public devices.

VongMala may suspend or terminate an account when reasonably necessary to protect security, enforce these Terms, address nonpayment, or prevent misuse.

13. Intellectual Property

The website and its contents are owned by or licensed to VongMala and are protected by applicable intellectual-property laws.

Protected materials may include:

  • The VongMala name and logo;

  • Website design and written content;

  • Service descriptions;

  • Diagnostic methods and frameworks;

  • Worksheets, templates, scorecards, and assessments;

  • Graphics, photographs, and illustrations;

  • Reports, presentations, and educational materials; and

  • Other proprietary processes and materials.

You may view and print reasonable portions of publicly available website content for your internal, noncommercial evaluation of VongMala’s services.

You may not, without prior written permission:

  • Copy or reproduce substantial portions of the website;

  • Sell, license, publish, or commercially distribute website materials;

  • Remove trademarks, notices, or attribution;

  • Create derivative consulting products from VongMala materials;

  • Scrape or systematically extract website content;

  • Represent VongMala materials as your own; or

  • Use VongMala’s name or branding in a manner suggesting sponsorship or affiliation.

Rights to deliverables created during a paid engagement will be governed by the applicable engagement agreement.

14. User Submissions and Feedback

You retain ownership of information and materials you lawfully submit.

You grant VongMala permission to use submitted information as reasonably necessary to:

  • Evaluate an inquiry;

  • Administer a booking;

  • Provide an accepted service;

  • Communicate with you;

  • Maintain business records; and

  • Comply with legal obligations.

VongMala will not publicly use your name, logo, testimonial, confidential business information, or identifiable case-study information without appropriate authorization.

If you voluntarily provide general suggestions concerning the website or VongMala’s services, VongMala may use that feedback without creating an obligation to compensate you. This does not authorize public use of a testimonial or identifiable client story without separate permission.

15. Prohibited Uses

You may not use the website to:

  • Violate any law or regulation;

  • Submit false, misleading, fraudulent, or unauthorized information;

  • Impersonate another person or misrepresent your authority;

  • Interfere with website security or functionality;

  • Introduce viruses, malicious code, or disruptive technology;

VongMala does not guarantee:

  • Increased revenue or profitability;

  • Financing or investment approval;

  • Regulatory or legal compliance;

  • Tax outcomes;

  • Successful implementation;

  • Resolution of partner or employee disputes;

  • Prevention of losses, claims, audits, or investigations; or

  • Any particular business result.

Examples, case studies, projections, and testimonials illustrate specific circumstances and do not promise that another client will achieve similar results.

18. Website Accuracy and Availability

VongMala attempts to maintain useful and accurate website content but does not warrant that all information will always be complete, current, error-free, or suitable for a particular purpose.

Services, pricing, availability, policies, and website content may change.

We do not guarantee uninterrupted or error-free website operation. The website may be unavailable because of maintenance, provider outages, security issues, updates, or circumstances outside our control.

19. Disclaimer of Warranties

To the fullest extent permitted by law, the website and its public content are provided on an “as is” and “as available” basis.

VongMala disclaims warranties concerning the website, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and availability.

This disclaimer does not limit obligations expressly accepted by VongMala in a signed engagement agreement.

20. Limitation of Liability

To the fullest extent permitted by law, VongMala & Co. LLC and its members, employees, contractors, associates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to:

  • Use of or inability to use the website;

  • Reliance on general website content;

  • Unauthorized access to electronic communications;

  • Third-party websites or services;

  • Loss of data, revenue, profits, goodwill, or business opportunity; or

  • Information submitted before an engagement is accepted.

Where liability cannot lawfully be excluded, VongMala’s liability arising solely from use of the public website will be limited to the amount, if any, paid specifically for the website-based service giving rise to the claim.

Limitations applicable to a paid consulting engagement will be governed by the applicable engagement agreement.

Some jurisdictions do not permit certain liability limitations, so portions of this section may not apply to you.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless VongMala & Co. LLC and its members, employees, contractors, and associates from third-party claims, liabilities, damages, and reasonable costs arising from:

  • Your unlawful or unauthorized use of the website;

  • Information or materials you were not authorized to submit;

  • Your violation of these Terms;

  • Your infringement of another person’s rights; or

  • Fraudulent or intentionally wrongful conduct.

This provision does not require indemnification for claims caused solely by VongMala’s unlawful conduct.

22. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any dispute arising solely from use of the public website will be brought in a court of competent jurisdiction in Pennsylvania, unless applicable law requires otherwise.

Dispute-resolution provisions for a paid consulting engagement may be addressed separately in the applicable engagement agreement.

23. Changes to These Terms

VongMala may revise these Terms to reflect changes in its services, website, business practices, technology, or legal obligations.

Updated Terms will be posted on this page with a revised effective date. Continued use of the website after an update constitutes acceptance of the revised Terms to the extent permitted by law.

Material changes affecting an existing paid engagement will be governed by the applicable engagement agreement rather than being imposed solely through a website update.

24. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

A failure to enforce a provision does not waive the right to enforce it later.

25. Entire Agreement for Website Use

These Terms and the Privacy Policy constitute the agreement governing general use of the website.

They do not replace a signed engagement agreement, proposal, statement of work, confidentiality agreement, payment agreement, or other written contract concerning consulting services.
